SPECIFIC TERMS OF SERVICE FOR VIRTUAL SERVER RENTAL (VPS/VDS)

The purpose of this document is to outline the specific service conditions, including the scope, format, and financial terms for the provision of virtual server rental services (hereinafter referred to as the "Service" or "Services"). These conditions complement the General Terms of Service of REDS CLOUD. In case of discrepancies, these Specific Terms take precedence. Terms capitalized are defined in this document or in the General Terms available on the REDS CLOUD website.

1. DESCRIPTION OF THE SERVICE

1.1. General characteristics

REDS CLOUD provides the Client with the service of renting a virtual private server (VPS/VDS) — an isolated virtual environment based on KVM (Kernel-based Virtual Machine) technology with dedicated system resources that are used by the Client without sharing with other users.

The service is provided as an infrastructure platform as-is (IaaS), which implies the Client's responsibility for administration, operating system configuration, software installation, and server security.

1.2. Technical specifications of VPS

The specific parameters of the VPS (CPU, RAM, disk space) depend on the selected tariff. Detailed specifications are available on the REDS CLOUD website at the time of ordering and in the Control Panel.

All VPS services include: 

  • dedicated memory (RAM) that is not shared with other VPS; 1
  • IPv4 address included, additional available on request;
  • Linux operating system (CentOS, Ubuntu, Debian) free of charge or Windows Server for a fee (see pricing on the website).

Resource expansion is possible at any time through the Control Panel or Support request.

1.3. Nature of Shared vCPU

All VPS services use Shared vCPU — virtual cores shared with other VPS on the same physical server. The client acknowledges and accepts that performance depends on neighboring VPS: if a neighboring VPS consumes more CPU, your VPS will receive less computing power.

REDS CLOUD guarantees fair time distribution using the KVM scheduler, but this does not mean a dedicated core. Your VPS may temporarily use more CPU during the idleness of neighboring services (not guaranteed to be constant). For guaranteed resource purity without the influence of neighboring users, Dedicated Servers are recommended.

Scheduled maintenance may affect all VPS on a single host simultaneously.

1.4. Data Center Locations

The VPS service is available in three geographical locations:

  • VOLIA (Ukraine, Kyiv) — the main location with minimal latency for Ukrainian users, recommended for Ukrainian B2B and individuals;
  • OVHcloud Poland (Warsaw) — full GDPR compliance;
  • OVHcloud Germany (Frankfurt) — full GDPR compliance (German jurisdiction).

The client chooses the location when ordering. Changing the location is only possible by canceling and placing a new order, which results in new IP addresses and manual data transfer.

1.5. Dependency on OVHcloud infrastructure

REDS CLOUD uses the OVHcloud infrastructure to host all VPS services. REDS CLOUD remains the Service Provider to the Client and is responsible for the quality of service.

2. SERVICE DELIVERY FORMAT

2.1. Remote Access

Access to the VPS is provided remotely via SSH (Linux/Unix servers) on port 22 (standard) or a custom port (upon request); authentication: password or SSH key. For Windows servers, RDP is used on port 3389 with the Administrator user. The IPMI/KVM-over-IP console is available on the Control Panel for emergencies.

2.2. Control Panel

The Client is provided access to the Control Panel, which allows monitoring of resource usage, rebooting the VPS, reinstalling the operating system, managing IP addresses, and viewing support tickets.

2.3. Operating System Installation

The first OS installation and configuration can be selected at the time of ordering. Reinstallation of the OS is possible at any time through the Control Panel (15-30 minutes, the VPS will be unavailable).

2.4. Additional Services on Demand

The Client can order: backup — daily automatic copies of the OS and user files; management and monitoring — scheduled OS security updates, application installations; penetration testing — with prior written consent from REDS CLOUD.

2. SERVICE DELIVERY FORMAT

2.1. Remote Access

4. BACKUP AND CONTENT MANAGEMENT

4.1. Backup Policy

REDS CLOUD does not provide automatic backups as part of the basic VPS service. The Client bears full and exclusive responsibility for regularly backing up their data to separate media and systems, storing copies outside of the REDS CLOUD data center, testing the ability to restore data, as well as adhering to the 3-2-1 rule: 3 copies of data, 2 different types of media, 1 copy offsite.

4.2. Additional Backup Service

Upon request, REDS CLOUD can provide backup management: daily automatic snapshots of files and databases, storage on separate infrastructure, quick recovery through the Control Panel. The cost is calculated based on the size and duration of storage; the exact cost is indicated on the REDS CLOUD website when ordering. This service is subject to SLA (99.5% availability of copies).

4.3. Data Deletion

Upon termination of the service by the Client, the Client has 30 calendar days to download or back up their data. After 30 days, REDS CLOUD will automatically delete all data from the disk.

Upon termination by REDS CLOUD due to violation, data is retained for 30 days for fair access by the Client.

In the event of service cancellation due to non-payment, REDS CLOUD may request data deletion earlier if the account remains unpaid for more than 90 days; the Client will be notified by email 30 days prior to deletion.

4.4. Confidentiality and Data Access

REDS CLOUD does not review the Client's Content unless otherwise required for service support. When managing an Incident, REDS CLOUD may request access to files for diagnostics. Everything that REDS CLOUD learns during incident management is considered confidential.

4.5. Penetration Testing

The Client may conduct penetration tests on their VPS under the following conditions: prior written consent from REDS CLOUD (email to support@reds.cloud); testing pertains only to the Client's dedicated VPS, not neighboring VPS; tests must not harm other clients or the infrastructure; the Client is responsible for the consequences; an audit report is sent to REDS CLOUD upon completion.

5. OBLIGATIONS AND SLA

5.1. Service Levels

REDS CLOUD guarantees specific levels of availability for VPS services (Uptime SLA). Exact specifications (Uptime percentage, compensations) are indicated on the REDS CLOUD website at the time of ordering. Uptime is measured as the percentage of time the VPS is available over the network in a month. SLA exclusions: scheduled maintenance, DDoS attacks, issues on the Client's side (misconfiguration, BSOD, CPU 100%).

5.2. Response Time (Support Response Time)

REDS CLOUD guarantees a response time to requests depending on the type of issue and the level of support chosen by the Client. Specific SLAs for Response Time are indicated on the REDS CLOUD website at the time of ordering the service. Response Time starts from the moment Support receives the ticket (not from the time the user detects it). For critical issues, the Client must be available for interaction.

5.3. Service Credits

If REDS CLOUD does not meet the SLA, the Client receives a Service Credit (as defined in the Terms and Conditions) — a reduction in the service cost for the next period (not refundable in cash). Maximum per month: no more than 100% of the service cost for the affected month. The Client must submit a request in the Control Panel within 30 days after the incident.

5.4. SLA Exclusions

REDS CLOUD is not responsible for SLA if the issue arose due to scheduled maintenance (7 days notice, mandatory once a month), issues on the Client's side (incorrect OS configuration, service stoppage by the Client), DDoS attacks and other network attacks, errors or actions of third parties (users, developers, ISPs), force majeure.

5.5. Request for Service Credit

The Client requests a Service Credit through the Control Panel: opens a ticket in the "Billing & SLA" section, specifies the date/time of the incident and diagnostic data. REDS CLOUD reviews the request within 5 business days. If the SLA is agreed upon, the Service Credit is applied to the Client's account. The Client must submit the request within 30 days after the incident.

6. INTERNET AND NETWORK MAINTENANCE

6.1. Connection

The Client is responsible for having an outgoing Internet connection with sufficient bandwidth, all costs associated with the connection, and potential technical risks. REDS CLOUD is not responsible for interruptions in internet connectivity outside the data center.

6.2. DDoS protection

REDS CLOUD provides DDoS protection for basic attacks. Details regarding the level of protection for each plan, options for enhanced protection, and the cost of additional protection are specified on the REDS CLOUD website when ordering a VPS. Clients with needs for specialized DDoS protection (beyond basic) can contact support@reds.cloud for a commercial proposal.

6.3. Firewall

The basic firewall is configured at the VPS level (installation and management on the Client's side). REDS CLOUD provides port management tools through the Control Panel. It is recommended to install iptables, ufw, or Windows Firewall to ensure security.

7. TECHNICAL MAINTENANCE AND UPDATES

7.1. Infrastructure Maintenance

REDS CLOUD periodically conducts scheduled maintenance once a month with a notice of at least 7 days. The VPS may be unavailable for up to 30 minutes. The microcode of the physical server, drivers, and hypervisor provisioning are updated.

7.2. Operating System and Software Updates

REDS CLOUD does not automatically update the OS or applications. The client is fully responsible for OS security updates. Automatic updates are recommended.

7.3. Critical Security Vulnerabilities

In the case of a critical vulnerability (Spectre, Meltdown, Log4j, etc.), REDS CLOUD may enforce microcode or hypervisor updates without notice. The client will be notified afterward via email.

8. SUPPORT AND INCIDENT MANAGEMENT

8.1. Support Channels

Support is available through a ticket system (response time 24/7 for critical issues, 8:00 AM - 6:00 PM Kyiv time for others; language: Ukrainian and English). Email for general inquiries: support@reds.cloud; for complaints: abuse@reds.cloud. Phone: upon request for critical situations.

8.2. Support Levels

REDS CLOUD offers various support levels with different features and costs. Detailed information about ticket priority levels, response times, working hours, and costs is provided on the REDS CLOUD website when ordering or upgrading the service. The client can change the support level at any time through the Control Panel or request for support@reds.cloud.

8.3. Incident Management

The client contacts Support with a description of the problem through the ticket system. Support diagnoses the issue by checking the logs and metrics of the VPS. The client collaborates by providing additional information and access to the VPS if necessary. REDS CLOUD resolves or escalates to OVHcloud (if it is a hardware issue). The client receives a report on the resolution and the cause of the incident. To manage the Incident, the client grants REDS CLOUD permission to connect to the VPS for diagnostics and perform technical operations.

9. PRICING AND FINANCIAL TERMS

9.1. Service Prices

The prices for VPS services are determined at the time of ordering based on the rates published at https://reds.cloud. Prices are calculated in Ukrainian Hryvnia (UAH). The equivalent in USD is provided for reference at the commercial exchange rate on the invoice date. Actual prices are available on the REDS CLOUD website and vary depending on the selected plan, data center location, and subscription duration.

9.2. Billing Period

Monthly payment — the invoice is issued on the 1st and 5th of each month. Annual payment — a 5% discount from the monthly cost; the invoice is issued once a year.  

9.3. Additional Costs

Details regarding the cost of additional services (additional IPv4 addresses, SSD/HDD upgrades, backups, DDoS protection, VPS management) are specified on the REDS CLOUD website at the time of ordering.

9.4. Non-Payment and Payment Delay

In case of payment delay exceeding 7 calendar days after notification, REDS CLOUD charges a penalty of double the NBU discount rate per month. The VPS will be suspended without prior notice. Data is stored for 30 days; after that, it is deleted. Re-activation requires payment of all outstanding amounts and penalties.

9.5. Refunds

Except in cases provided for by the legislation of Ukraine, refunds are not made in the event of non-use of part of the service or termination of the service before the end of the payment period. Consumers (individuals) have the right to withdraw from the contract within 14 days in accordance with Article 13 of the Law of Ukraine "On Consumer Rights Protection".

10. TERMINATION OF SERVICE

10.1. Termination at the Client's Initiative

The Client may terminate the VPS service at any time by contacting Support through the ticket system or through the deactivation form in the Control Panel. Written notice is required 7 days in advance for monthly plans; 30 days for annual and multi-year contracts. After termination, the VPS ceases to function; data is retained for 30 days; the Client can download or back up data during this time; any unpaid costs remain on the account.

10.2. Termination for Violation

REDS CLOUD may terminate the service without prior notice in the event of a serious violation of the terms of the contract (prohibited activities), failure to make payment for more than 7 days, suspicion of fraud or unauthorized access to the VPS, illegal content (terrorism, pedophilia, racism). Data is deleted immediately without a waiting period.

10.3. Termination for Systemic Reasons

If the VPS service is officially terminated, the Client receives written notice 30 days in advance. The Client may terminate without penalty within 30 days; any unused costs are refunded proportionally.

11. DEFINITIONS

11.1. "VPS/VDS" — virtual private server; synonyms.

11.2. "KVM" — Kernel-based Virtual Machine; virtualization technology used by REDS CLOUD.

11.3. "Shared vCPU" — a virtual CPU core shared with other VPS on the same physical server.

11.4. "Uptime" — the percentage of time that the VPS is available over the network in a month (measured via ICMP ping).

11.5. "Downtime" — the period when the VPS is unavailable (calculated as 100% — Uptime%).

11.6. "SLA (Service Level Agreement)" — guarantees from REDS CLOUD regarding the availability and quality of the service.

11.7. "Service Credit" — compensation in the form of a reduction in the service cost for the next period (not refundable in cash).

11.8. "Response Time" — the time from when the Support ticket is received to the first action (contact with the Client).

11.9. "Resolution Time" — the time from when the ticket is received to the complete resolution of the issue.

11.10. "DDoS" — Distributed Denial of Service; an attack on the unavailability of the service.

11.11. "Control Panel" — the interface for managing the VPS, available at https://reds.cloud.

11.12. "Client" — a natural or legal person who orders and uses the VPS service.

12. FINAL PROVISIONS

12.1. Governing Law

This contract is governed by the substantive law of Ukraine without regard to conflict of laws principles. All disputes are resolved in the courts of Ukraine at the location of REDS CLOUD (as defined in clause 14.16 of the General Terms).

12.2. Amendments

REDS CLOUD may change these Specific Terms at any time. The Client will be notified by email at least 30 days in advance. If the Client disagrees, they may terminate the service without penalty within 30 days (as defined in clause 14.9 of the General Terms).

12.3. Entire Agreement

This document, together with the General Terms, constitutes the entire agreement between the Parties regarding the VPS services of REDS CLOUD. Previous discussions or proposals are canceled and replaced by this contract.
