The purpose of this document is to outline the specific service conditions, including the scope, format, and financial terms for the dedicated server rental service (hereinafter referred to as the "Service" or "Services"). These terms complement the General Terms of Service of REDS CLOUD. In case of discrepancies, these Specific Terms take precedence. Terms capitalized are defined in this document or in the General Terms available on the REDS CLOUD website.
1. DESCRIPTION OF THE SERVICE
1.1. General characteristics
REDS CLOUD provides the Client with the dedicated server rental service (Dedicated Server) — a physical server fully allocated to the Client without sharing system resources (CPU, RAM, disks, network) with other users.
The service is provided as an infrastructure platform as-is (IaaS), which implies the Client's responsibility for administration, operating system configuration, software installation, and server security.
1.2. Technical specifications of the Dedicated Server
The specific parameters of the dedicated server (CPU, RAM, disk space, network card) depend on the selected tariff. Detailed specifications are available on the REDS CLOUD website upon ordering and in the Control Panel.
All Dedicated Server services include: dedicated physical resources (CPU, RAM, disks) without sharing with other users; 1 IPv4 address included, additional available upon request; IPv6 /64 network included in all plans; Linux operating system (CentOS, Ubuntu, Debian) free of charge or Windows Server for a fee (see pricing on the website); full administrative access (root/Administrator).
Resource expansion is possible by ordering a new server with a larger configuration and transferring data by the Client. Upgrading individual components (adding RAM, disks) is possible by separate agreement and requires temporary suspension of server operation.
1.3. Advantages of a Dedicated Server
Unlike VPS services, a Dedicated Server provides: full control over the physical hardware; guaranteed performance without the influence of neighboring users; the ability to install your own hypervisor (Proxmox, VMware, Hyper-V); advanced BIOS/UEFI and network parameter configuration options; full access to IPMI/iLO for remote management.
1.4. Data Center Locations
The Dedicated Server service is available in Ukraine and in all OVHcloud locations worldwide (France, Germany, Poland, the United Kingdom, Canada, the USA, Singapore, Australia, and others). A complete list of available locations and their characteristics is provided on the REDS CLOUD website when ordering.
The Client selects the location when ordering. Changing the location is only possible by ordering a new server in a different location and transferring data by the Client.
1.5. Dependence on Partner Infrastructure
REDS CLOUD uses the infrastructure of partner data centers to host Dedicated Server services:
In Ukraine, services are hosted in the VOLIA data center. Technical maintenance of hardware, power systems, cooling, and physical access is provided by VOLIA staff in collaboration with REDS CLOUD.
In international locations (France, Germany, Poland, the United Kingdom, Canada, the USA, Singapore, Australia, and others), services are hosted in OVHcloud data centers. Technical maintenance of hardware is provided by OVHcloud staff.
REDS CLOUD remains the Service Provider to the Client and is responsible for the quality of service regardless of location.
2. SERVICE DELIVERY FORMAT
2.1. Remote Access
Access to the Dedicated Server is provided remotely via SSH (Linux/Unix servers) on port 22 (standard) or a custom port (upon request); authentication: password or SSH key. For Windows servers, RDP is used on port 3389 with the Administrator user.
2.2. IPMI / iLO Access
The Client is provided with full access to IPMI (Intelligent Platform Management Interface) or iLO (Integrated Lights-Out) for remote management of the physical server. Through IPMI/iLO, the Client can: obtain a remote console (KVM-over-IP) regardless of the operating system state; reboot the server; mount ISO images for OS installation; view hardware parameters (temperature, power status, disk status); receive notifications about hardware issues.
Data for accessing IPMI/iLO is provided to the Client after the service activation. The Client is fully responsible for the security of passwords and restricting access to the IPMI/iLO interface.
2.3. Control Panel
The client is provided access to the Control Panel, which allows monitoring the server status, rebooting the server, managing IP addresses, configuring reverse DNS records (rDNS), activating Rescue Mode, and reviewing support tickets.
2.4. Installation of the operating system
The client independently performs the installation and reinstallation of the operating system through:
Rescue Mode — loading a special environment for recovery or installing the OS from scratch, available through the Control Panel.
IPMI/iLO console — remote OS installation from their own ISO image by mounting through a virtual CD/DVD drive.
Automatic installation through the Control Panel — ready-made templates of popular distributions are available (CentOS, Ubuntu, Debian, Windows Server).
REDS CLOUD is not responsible for the correctness of the OS installation and software configuration by the client.
2.5. Additional services on demand
The client can order: backup — daily automatic copies of the OS and user files; management and monitoring — scheduled OS security updates, application installations; penetration tests — with prior written consent from REDS CLOUD; additional IPv4 addresses and subnets; enhanced DDoS protection; hardware upgrades.
3. RESTRICTIONS AND TERMS OF USE
3.1. Proper use
The client agrees to use the Dedicated Server service within the current legislation of Ukraine, the EU, and the USA (depending on the location and operations) for permitted purposes, including web hosting, application development, databases, virtualization, and computational tasks.
3.2. Prohibited activities
REDS CLOUD has the right to terminate the service without notice in case of detection of: cryptocurrency mining (Proof-of-Work mining — Bitcoin, Litecoin, Monero, etc. — is prohibited; Proof-of-Stake like Ethereum Staking is allowed); DDoS and network attacks (sending DDoS traffic to third-party sites and running port scanners without consent — is prohibited); spam and malware (SMTP port 25 for sending spam and distributing botnets — is prohibited); illegal content (pornography involving minors, terrorism, trafficking in weapons/drugs, etc.).
3.3. Violations and Sanctions
Upon detection of a violation, REDS CLOUD applies the following procedure: first warning — email notification about the specific issue, 24 hours to rectify; second warning — a more formal letter and 72 hours to rectify; third receipt — termination of the service without a refund if rectification does not occur.
For serious violations (DDoS, spam, illegal content), REDS CLOUD may terminate the service with immediate effect.
4. BACKUP AND CONTENT MANAGEMENT
4.1. Backup Policy
REDS CLOUD does not provide automatic backups as part of the basic Dedicated Server service. The client bears full and sole responsibility for regularly backing up their data to separate media and systems, storing copies off-site from the REDS CLOUD data center, testing the ability to restore data, and adhering to the 3-2-1 rule: 3 copies of data, 2 different types of media, 1 copy off-site.
4.2. Additional Backup Service
Upon request, REDS CLOUD can provide backup management: daily automatic snapshots of files and databases, storage on separate infrastructure (including separate locations), quick recovery. The cost is calculated based on the size and duration of storage; the exact cost is specified on the REDS CLOUD website when ordering.
4.3. Data Deletion
Upon termination of the service by the Client, the Client has 30 calendar days to download or back up their data. After 30 days, REDS CLOUD automatically clears the server disks before transferring the server to the next client.
In the event of termination by REDS CLOUD due to a violation, data is retained for 30 days for fair access by the Client.
In case of service cancellation due to non-payment, REDS CLOUD may delete data earlier if the invoice remains unpaid for more than 90 days; the Client is notified by email 30 days prior to deletion.
4.4. Confidentiality and Data Access
REDS CLOUD does not review the Client's Content unless otherwise required for service support. When managing an Incident, REDS CLOUD may request access to files for diagnostics. Everything that REDS CLOUD learns during incident management is considered confidential.
4.5. Penetration Testing
The Client may conduct penetration tests on their dedicated server under the following conditions: prior written consent from REDS CLOUD (email to support@reds.cloud); testing pertains only to the Client's dedicated server; tests must not harm other clients or the REDS CLOUD/OVHcloud infrastructure; the Client is responsible for the consequences; an audit report is sent to REDS CLOUD upon completion.
5. OBLIGATIONS AND SLA
5.1. Service Levels
REDS CLOUD guarantees specific levels of availability for Dedicated Server services (Uptime SLA). Exact specifications (Uptime percentage, compensation) are indicated on the REDS CLOUD website when ordering. Uptime is measured as the percentage of time the server is available over the network in a month. Exclusions from SLA: scheduled maintenance, DDoS attacks, issues on the Client's side (incorrect OS configuration, hardware failures caused by the Client's actions).
5.2. Response Time (Support Response Time)
REDS CLOUD guarantees response time to requests depending on the type of issue and the level of support chosen by the Client. Specific SLAs for Response Time are indicated on the REDS CLOUD website when ordering the service. Response Time starts from the moment Support receives the ticket. For critical issues, the Client must be available for interaction.
5.3. Hardware Replacement
In the event of hardware failure (hard drive, RAM, power supply, network card, etc.), REDS CLOUD organizes the replacement of the faulty component: in locations in Ukraine — through VOLIA staff in collaboration with REDS CLOUD; in international locations — through the standard OVHcloud procedure. The replacement time depends on the location, type of component, and availability of spare parts in stock.
5.4. Service Credits
If REDS CLOUD does not adhere to the SLA, the Client receives a Service Credit (as defined in the General Terms) — a reduction in the cost of the service for the next period (not refundable in cash). Maximum per month: no more than 100% of the service cost for the affected month. The Client must submit a request in the Control Panel within 30 days after the incident.
5.5. Exclusions from SLA
REDS CLOUD is not responsible for SLA if the issue arose due to scheduled maintenance (7 days notice), issues on the Client's side (incorrect OS configuration, administration errors), DDoS attacks and other network attacks, errors or actions of a third party (user, developer, ISP), force majeure.
5.6. Request for Service Credit
The Client requests a Service Credit through the Control Panel: opens a ticket in the "Billing & SLA" section, specifies the date/time of the incident and diagnostic data. REDS CLOUD reviews the request within 5 business days. If SLA is agreed upon, the Service Credit is applied to the Client's account. The Client must submit the request within 30 days after the incident.
6. INTERNET AND NETWORK MAINTENANCE
6.1. Connection
The Client is responsible for having an outgoing Internet connection with sufficient bandwidth at their workplace for server administration. REDS CLOUD is not responsible for interruptions in internet connectivity outside the data center.
6.2. Network bandwidth
The network bandwidth for Dedicated Server depends on the chosen plan and location. Details regarding bandwidth, traffic limits, and the cost of upgrades are specified on the REDS CLOUD website when ordering.
6.3. DDoS protection
REDS CLOUD provides DDoS protection for Dedicated Server services. Details regarding the level of protection for each plan, options for enhanced protection, and the cost of additional protection are specified on the REDS CLOUD website when ordering. Clients with needs for specialized DDoS protection can contact support@reds.cloud for a commercial proposal.
6.4. Firewall
The basic firewall is configured at the server level (installation and management on the Client). For some locations, OVHcloud offers a network firewall that can be configured through the Control Panel. It is recommended to install iptables, ufw, nftables, or Windows Firewall to ensure security at the OS level.
7. TECHNICAL MAINTENANCE AND UPDATES
7.1. Infrastructure Maintenance
REDS CLOUD periodically conducts scheduled maintenance of data centers and network infrastructure with a notice of at least 7 days. During maintenance, the server may be unavailable for a limited period. Scheduled maintenance covers: network equipment, power systems, cooling systems.
7.2. Hardware Maintenance
In case of the need to replace faulty components (disks, power supplies, memory, etc.), REDS CLOUD will carry out the replacement as quickly as possible. For locations in Ukraine, the replacement is carried out by VOLIA staff; for international locations — through the standard OVHcloud procedure. The Client will be informed about the expected downtime of the server.
7.3. Operating System and Software Updates
REDS CLOUD does not automatically update the OS or applications. The Client is fully responsible for OS security updates. It is recommended to enable automatic security updates.
7.4. Critical Security Vulnerabilities
In the case of a critical vulnerability (Spectre, Meltdown, Log4j, etc.), REDS CLOUD informs the Client about the recommended actions. In the case of vulnerabilities at the CPU microcode or BIOS level, updates may require a server reboot, of which the Client will be notified in advance.
8. SUPPORT AND INCIDENT MANAGEMENT
8.1. Support Channels
Support is available through the ticket system (response time 24/7 for critical issues, 8:00 AM - 6:00 PM Kyiv time for others; language: Ukrainian and English). Email for general inquiries: support@reds.cloud; for complaints: abuse@reds.cloud. Phone: upon request for critical situations.
8.2. Support Levels
REDS CLOUD offers different levels of support with varying features and costs. Detailed information about ticket priority levels, response times, working hours, and costs is provided on the REDS CLOUD website when ordering or upgrading the service. The client can change the support level at any time through the Control Panel or by request for support@reds.cloud.
8.3. Support Limits
Basic support covers: server hardware issues; network availability; questions regarding the Control Panel and IPMI/iLO; billing and order inquiries.
Basic support does not cover: operating system setup; installation and configuration of applications; data migration; software performance optimization; server administration. These services are available separately as part of the server management service.
8.4. Incident Management
The client contacts Support with a description of the issue through the ticket system. Support diagnoses the problem by checking server logs and metrics. The client collaborates by providing additional information and access to the server if necessary. REDS CLOUD resolves the issue independently or escalates it to the responsible partner (VOLIA for locations in Ukraine or OVHcloud for international locations if it is a hardware issue). The client receives a report on the resolution and the cause of the incident.
9. PRICING AND FINANCIAL TERMS
9.1. Service Prices
The prices for Dedicated Server services are determined at the time of ordering based on the rates published on the REDS CLOUD website. Prices are calculated in hryvnias (UAH). The equivalent in USD is provided for reference at the commercial exchange rate on the date of invoicing. Actual prices are available on the REDS CLOUD website and vary depending on the chosen server configuration, data center location, and subscription duration.
9.2. Whitening Period
Dedicated Server services are provided on a monthly or annual subscription basis.
Monthly payment — the invoice is issued on the 1st of each month; payment is expected by the 7th day. The minimum term is 1 month.
Annual payment — a discount from the monthly cost (the size of the discount is indicated on the website); the invoice is issued once a year. The minimum term is 1 year.
9.3. Additional Costs
Details regarding the cost of additional services (additional IPv4 addresses and subnets, enhanced DDoS protection, backup, server management, hardware upgrades) are indicated on the REDS CLOUD website at the time of ordering.
9.4. Setup Fee
For some configurations, a setup fee may be charged for the Dedicated Server, covering the costs of initial setup and server activation. The presence and amount of the setup fee are indicated on the REDS CLOUD website at the time of ordering.
9.5. Non-Payment and Payment Delay
In case of payment delay exceeding 7 calendar days after notification, REDS CLOUD charges a penalty at the rate of double the NBU discount rate per month. The server will be suspended without prior notice. Data is stored for 30 days; after that, it is deleted. Re-activation requires payment of all outstanding amounts and penalties.
9.6. Refunds
Except in cases provided for by the legislation of Ukraine, refunds are not made in the event of non-use of part of the service or termination of the service before the end of the payment period. Consumers (individuals) have the right to withdraw from the contract within 14 days in accordance with Article 13 of the Law of Ukraine "On Consumer Rights Protection".
10. TERMINATION OF SERVICE
10.1. Termination at the Client's Initiative
The Client may terminate the Dedicated Server service at any time by contacting Support through the ticket system or through the deactivation form in the Control Panel. Written notice is required 7 days in advance for monthly plans; 30 days for annual contracts. After termination, the server ceases to function; data is stored for 30 days; the Client can download or back up data during this time; any unpaid costs remain on the account.
10.2. Termination for Violation
REDS CLOUD may terminate the service without prior notice in the event of a serious violation of the terms of the contract (prohibited activities), failure to make payment for more than 7 days, suspicion of fraud or unauthorized access to the server, illegal content (terrorism, pedophilia, racism). Data is deleted immediately without a waiting period.
10.3. Termination for System Reasons
If the Dedicated Server service is officially terminated (for example, closure of a location, removal of configuration from sale), the Client receives written notice 30 days in advance. The Client may terminate without penalty within 30 days; any unused costs are refunded proportionally.
11. DEFINITIONS
11.1. "Dedicated Server" — a dedicated physical server fully allocated to the Client without sharing system resources with other users.
11.2. "IPMI (Intelligent Platform Management Interface)" — a standard interface for remote management of a physical server regardless of the operating system state.
11.3. "iLO (Integrated Lights-Out)" — HP/HPE technology for remote server management; a functional equivalent of IPMI.
11.4. "KVM-over-IP" — a remote console that allows viewing the server screen and managing it as if the Client is physically in front of the server.
11.5. "Rescue Mode" — a special boot environment for recovery, diagnostics, or installing the OS from scratch.
11.6. "Uptime" — the percentage of time the server is available over the network in a month.
11.7. "SLA (Service Level Agreement)" — guarantees from REDS CLOUD regarding service availability and quality.
11.8. "Service Credit" — compensation in the form of a reduction in service cost for the next period (not refundable in cash).
11.9. "Response Time" — the time from when the Support ticket is received to the first action (Client contact).
11.10. "DDoS" — Distributed Denial of Service; an attack on service availability.
11.11. "Control Panel" — an interface for managing Dedicated Server, available at https://demo.reds.cloud.
11.12. "Client" — a natural or legal person who orders and uses the Dedicated Server service.
11.13. "rDNS (Reverse DNS)" — a reverse DNS record that allows an IP address to correspond to a domain name (important for SMTP servers and email rating).
12. FINAL PROVISIONS
12.1. Applicable law
The material law of Ukraine applies to this contract without regard to the principles of conflict of laws. All disputes are considered in the courts of Ukraine at the location of REDS CLOUD (as defined in clause 14.16 of the General Terms).
12.2. Amendments
REDS CLOUD may change these Specific Terms at any time. The Client will be notified by email at least 30 days in advance. If the Client disagrees, they may terminate the service without penalty within 30 days (as defined in clause 14.9 of the General Terms).
12.3. Entire Agreement
This document, together with the General Terms, constitutes the entire agreement between the Parties regarding the Dedicated Server services of REDS CLOUD. Previous discussions or proposals are canceled and replaced by this contract.
